Introduction

By accepting the Terms and Conditions below, you agree to establish a connection between the SPININIO website and your website(s) through the use of our traceable promotional materials, in exchange for the agreed consideration.

1. Signing Up to the Affiliate Program

To become an affiliate of the SPININIO Affiliate Program, you must register by completing the online affiliate application form. All information provided must be accurate, complete, and truthful in order to be considered for approval. Applications that are incomplete, inaccurate, misleading, or otherwise not genuine may be rejected at our sole discretion. If your application is approved, you will receive a confirmation email with your unique username and password. These credentials are personal to you and must not be shared. They grant access to your affiliate account, including marketing tools, banners, and reporting tools. Participation is strictly for commercial purposes. You and your associates are prohibited from opening player accounts or making deposits for personal use or to increase commissions. Fraudulent activity may result in cancellation of commissions.

2. Our Rights and Obligations

Subject to Clause 3: We shall register customers and track their transactions. Customers are subject to our rules and policies. We shall pay commissions in accordance with Clause 4. We shall provide password-protected access to the affiliate reporting area showing Net Revenue. We shall use reasonable endeavors to tag visitors, record bets, and maintain commission records. IF YOU DO NOT AGREE TO ALL TERMS, YOU MUST NOT DOWNLOAD OR USE ANY PROMOTIONAL MATERIALS. We reserve the right to terminate the Agreement if your traffic is unsuitable, including explicit, violent, discriminatory, illegal, or IP-infringing content. Applications from IP addresses located in the U.S., Bulgaria, Cyprus, and Israel will not be accepted. Invoices must be submitted within the following month of activity. SPININIO may accept a latency of up to 3 months. Late submissions will be revoked. This Agreement sets all terms for membership. "You" or "affiliate" refers to the registering individual, group, or corporate entity, including associated personnel.

3. Affiliate Rights and Obligations

3a. As an affiliate, you are allowed to open and operate only one affiliate account; any additional accounts may be closed at our sole discretion.

3b. As an affiliate, you are responsible for promoting SPININIO using advertising, banners, and tracking URLs on your websites, emails, or other communications.

3c. You must register and maintain accurate and truthful contact information with SPININIO.

3d. You will present only content and topics on your site that are pre-approved in writing by SPININIO. Content deemed unsuitable at SPININIO's sole discretion may result in immediate termination of the affiliate agreement. Content is considered unsuitable if it is aimed at individuals under the age of 18.

3e. You are solely responsible for the development, operation, and maintenance of your site and for all materials that appear on it, at your own cost. You must ensure that materials posted on your site are not libelous, illegal, or infringe the intellectual property rights of third parties. You will indemnify and hold SPININIO harmless from claims, damages, or expenses relating to your site.

4. Affiliation Guidelines

4a. Only approved and properly tagged materials supplied by SPININIO may be used to promote SPININIO. Advertorials and personal endorsements not designed by SPININIO must receive prior written approval.

4b. You may not modify or use any intellectual property, banners, or other creative materials supplied by SPININIO for any other purpose without prior written consent.

4c. Advertising is only via approved methods: banners, text, emails, direct marketing, or print using affiliate URL.

4d. Banners and links may not be used in unsolicited emails, unauthorized newsgroups, chat rooms, or via bots. Illegal traffic will not be counted and may result in termination.

4e. Any form of spamming, false advertising, or discrediting SPININIO may result in immediate termination.

4f. You may not make claims, representations, or warranties on behalf of SPININIO without prior written consent.

4g. You will only use approved banners and links, without altering appearance or referring to SPININIO in any unauthorized manner.

4h. You will not knowingly benefit from traffic not generated in good faith. SPININIO may retract commissions for fraudulent activity.

5. Affiliate Collusion and Fraud

5a. Affiliate collusion includes ventures or coordinated efforts aimed at obtaining dishonest earnings, such as interconnected bonus abuse, coordinated betting, inducing chargebacks, offering monetary incentives, registering duplicate accounts, or using affiliate accounts for personal betting.

5b. Fraudulent activity may be established through technical evidence (IP addresses, user details) or player behavior.

5c. Affiliate fraud includes attempts to illicitly obtain benefits, including collusion, bonus abuse, CPA/revenue share abuse, violating laws, deceptive advertising, stolen payment info, rake-back, or IP misuse.

6. Affiliate Tagging

6a. You are responsible only for directing customers to the SPININIO website.

6b. Only properly tagged customers can be assigned to an affiliate. Improper tagging or failure to register links with SPININIO will result in unassigned registrations and transactions.

7. Commissions and Payments

7a. Commissions are paid according to SPININIO Affiliate Program structure, minimum 5 new Active Wagering Members per month. SPININIO may waive this requirement.

7b. Active Wagering Members are players who wager at least 20 EUR.

7c. Commissions are calculated monthly and paid once per month.

7d. Commissionable Earnings are calculated as SPININIO profit less chargebacks, self-excluded accounts, complimentary money, free offers, and other incentives.

7e. Chargebacks result in forfeiture of revenue and may create a negative balance, which must be recovered before new commissions are paid.

7f. Complimentary money, free offers, and other incentives are excluded from commission calculations.

7g. Failure to maintain five Active Wagering Members may result in a grace period of two months, after which eligible commissions may be consolidated.

7h. Commissions are subject to SPININIO’s current structure and payout thresholds (100 EUR for e-wallets/credit cards, 500 EUR for other methods).

7i. CPA commissions require 5 new active accounts/month with deposits totaling 75% of the commission due.

7j. Negative earnings carry over to the next month; commissions paid on net positive balances.

7k. Commissionable earnings continue for all transactions while the affiliate remains active.

8. Policies & Confidentiality

8a. SPININIO assumes ownership of the customer at first contact. As an affiliate, you act as a referring agent. SPININIO may refuse or close customer accounts to comply with policies.

8b. By opening an account, customers become SPININIO clients, and all rules, policies, and operating procedures apply.

8c. During this Agreement, you may receive confidential information about SPININIO operations or technology, including referral fees. You agree not to disclose or use this information outside the purposes of this Agreement without prior written consent.

8d. Obligations regarding confidential information survive termination of this Agreement.

9. Limited License

9a. SPININIO grants you a personal, non-exclusive, non-transferable license to use trademarks solely in connection with banner displays on your site.

9b. You are granted a non-exclusive right to direct customers to SPININIO services. This does not grant exclusivity, and SPININIO may engage others in similar referral activities.

9c. The license cannot be sublicensed, assigned, or transferred. You will not challenge the validity or ownership of trademarks or take actions that weaken them.

9d. SPININIO may revoke this license at any time, including upon termination of this Agreement.

10. Legal Responsibilities

10a. Ownership and content of SPININIO sites remain SPININIO property and are not transferred through this Agreement.

10b. Ownership and content of affiliate sites are the sole responsibility of the affiliate. You are responsible for development, operation, and maintenance at your own cost.

10c. You will indemnify SPININIO from claims, damages, or expenses related to your site, without prejudice to SPININIO’s separate legal action.

10d. Affiliates must follow correct linking and tagging procedures to ensure proper tracking and payment.

10e. You are responsible for correct presentation of SPININIO banners and content, ensuring legality and non-infringement.

10f. SPININIO may modify any terms of this Agreement at its discretion by posting a notice or new agreement. Continued participation constitutes acceptance.

10g. SPININIO may request personal or company documents for identity verification. Payment may be withheld until documents are provided.

10h. Spam is prohibited. Any expenses incurred due to spam will be deducted from your account. SPININIO reserves the right to withhold commission payments to cover damages.

10i. You and SPININIO are independent contractors; this Agreement does not create a partnership, joint venture, or employment relationship.

11. Miscellaneous

11a. Assignability and Inurement: You may not assign this Agreement without SPININIO’s prior written consent. This Agreement is binding on successors and assigns.

11b. Non-Waiver: Failure to enforce a provision does not waive SPININIO’s right to enforce it later. No verbal modifications are valid.

11c. Remedies: SPININIO’s rights and remedies are cumulative. Breaches may be addressed with specific performance, injunctions, or other equitable remedies.

11d. Severability/Waiver: Invalid or unenforceable provisions do not affect the remainder of the Agreement. Waivers must be in writing.

12. Term & Termination

12a. The Agreement begins when you download and link the code and continues until either party provides written notice to terminate. Termination may be immediate and at will. Email notification is valid.

12b. Upon termination: Remove SPININIO banners and disable links. All rights and licenses terminate immediately. You are entitled only to unpaid referral fees earned prior to termination, except in cases of breach. SPININIO may withhold final payments to ensure accurate amounts. Continued customer activity after termination does not renew the Agreement. Return all confidential information and cease use of trademarks.

12c. Termination does not relieve you of liability for breaches occurring prior to termination.

13. Relationship of Parties

13a. You and SPININIO are independent contractors. No partnership, joint venture, agency, franchise, or employment relationship is created.

13b. You have no authority to make or accept offers on SPININIO’s behalf and must not make statements contradicting this section.

14. Indemnity

14a. You agree to indemnify and hold harmless SPININIO, its affiliates, directors, officers, employees, agents, and partners against any Losses arising from: claims that use of Affiliate Trademarks infringes third-party rights, misrepresentation, warranty breaches, or covenant violations by you, development, operation, maintenance, or content of your site, and any claim related to your site content not attributable to SPININIO.

15. Disclaimer

15a. SPININIO makes no express or implied warranties regarding the referral program, including functionality, merchantability, fitness, legality, or non-infringement.

15b. SPININIO does not guarantee uninterrupted or error-free site operation and is not liable for interruptions or errors.

16. Limitation of Liability

16a. SPININIO is not liable for indirect, special, or consequential damages, including loss of revenue, profits, or data.

16b. Aggregate liability is limited to commissions paid or payable under this Agreement. No rights are conferred to third parties.

17. Independent Investigation

17a. You acknowledge reading and understanding this Agreement. You are participating voluntarily and independently, without relying on other representations outside this Agreement.

18. In Witness Whereof

18a. By signing up as an affiliate and acknowledging these terms, you agree to all provisions herein.

18b. SPININIO reserves the right to withhold payment from affiliates who violate any terms of this Agreement.
